Thank you for choosing to use the Nodum Platform ("Nodum", or the "Platform"), which includes the Nodum web application, and any other features, functionalities, or services provided now or in the future (collectively the "Services"). The Services are offered by Nodum Inc ("we", "us", or "our"), with its registered address at 8 The Green, Suite B, in the City of Dover, County of Kent, Zip Code 19901, State of Delaware.
1. Your Agreement to these Terms of Services
These Terms of Service (these "Terms" or the "Agreement"), as may be updated from time to time, govern your access to and use of the Platform and Services. They form a legally binding agreement between you and us. By accessing or using the Services, you agree to be bound by these Terms. Please read them carefully. If you do not agree to any part of these Terms, you must immediately stop using the Services.
Your access to and use of the Services are also subject to our Privacy Policy as well as any additional guidelines or rules that may be made available to you from time to time.
2. Changes to these Terms
We may update, enhance, or modify the Services from time to time. We also reserve the right to revise these Terms as necessary. When we make material changes, we will make reasonable efforts to notify you. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the revised Terms.
3. Nature of the Services
Platform as a Tool. Nodum is a software tool that provides content analysis, research, and creative reference capabilities. The Platform enables you, the user, to initiate requests to retrieve, analyze, and process publicly available content from third-party sources, including but not limited to social media platforms, video hosting services, and other websites. Nodum functions as an intermediary tool — similar to a web browser, search engine, or content analysis software — and does not independently select, curate, host, or distribute third-party content.
User-Directed Actions. All content retrieval and processing actions are initiated solely by you, the user. Nodum does not autonomously scrape, download, or collect content from any third-party source without your explicit direction. You determine what content to retrieve, analyze, and how to use the results.
Temporary Processing. Third-party content retrieved through the Services is processed temporarily for the purpose of providing you with analysis, summaries, transcripts, or reference materials. Nodum does not permanently store, reproduce, or redistribute third-party content beyond what is reasonably necessary to deliver the requested service output to you.
4. Account and Registration
Account Requirements: To access and use many of the Services, you must first register for an account. When creating an account, you must provide accurate, current, complete, and truthful information.
Eligibility: You must be at least 13 years of age to use the Services. If you are under 18, you may only use the Services with parent or legal guardian permission.
Account Security: You are solely responsible for maintaining the security and confidentiality of your account credentials. You must not share your login information with any third party.
We reserve the right to temporarily suspend, permanently terminate, or otherwise restrict your account for violations of these Terms or applicable laws.
5. Third-Party Content and Intellectual Property
Acknowledgment of Third-Party Rights. You acknowledge and agree that content retrieved from third-party sources (including social media platforms such as Instagram, TikTok, YouTube, X/Twitter, and others) may be protected by copyright, trademark, and other intellectual property laws. Nodum does not claim ownership of any third-party content processed through the Services.
No Affiliation. Nodum is not affiliated with, endorsed by, or connected to any social media platform, content hosting service, or third-party content provider. All third-party trademarks and trade names are the property of their respective owners.
Copyright Compliance. You represent and warrant that your use of the Services to retrieve, analyze, or process third-party content: (a) is for lawful purposes only; (b) constitutes fair use, fair dealing, or is otherwise permitted under applicable copyright law; (c) does not infringe upon the intellectual property rights, privacy rights, or any other rights of third parties; and (d) complies with the terms of service of the third-party platform from which content is sourced, to the extent legally applicable.
User Responsibility for Third-Party Content. You bear sole and exclusive responsibility for: (i) determining whether your retrieval and use of any third-party content is lawful; (ii) obtaining any necessary permissions, licenses, or consents from content owners; (iii) ensuring compliance with the terms of service and policies of third-party platforms; and (iv) any consequences arising from your retrieval, use, or distribution of third-party content processed through the Services.
DMCA and Copyright Notices. Nodum respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. If you are a copyright owner who believes that content available through our Services infringes your rights, please contact our designated copyright agent at [email protected] with: (i) a physical or electronic signature of the copyright owner or authorized representative; (ii) identification of the copyrighted work(s) claimed to have been infringed; (iii) identification of the material that is claimed to be infringing and that is to be removed or have access disabled, and information reasonably sufficient to permit us to locate the material; (iv) your contact information including address, telephone number, and email; (v) a statement that you have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) a statement, under penalty of perjury, that the information in the notification is accurate, and that you are the copyright owner or authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
Counter-Notification. If you believe that your content was removed or access was disabled as a result of a mistake or misidentification, you may submit a counter-notification to [email protected] containing: (i) your physical or electronic signature; (ii) identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or disabled; (iii) a statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification; (iv) your name, address, telephone number, and a statement that you consent to the jurisdiction of the Federal District Court for the district in which your address is located (or Delaware if your address is outside the United States), and that you will accept service of process from the person who provided notification of the alleged infringement.
Repeat Infringer Policy. In accordance with 17 U.S.C. § 512(i), Nodum has adopted and reasonably implements a policy of terminating the accounts of users who are repeat copyright infringers in appropriate circumstances. We track all valid DMCA takedown notices received and maintain records of alleged infringements associated with each user account. A user will be considered a "repeat infringer" upon accumulation of three (3) or more valid DMCA takedown notices directed at their account within any rolling twelve (12) month period. Upon reaching this threshold, we will permanently terminate the user's account, delete all associated content, and prohibit creation of new accounts. We also reserve the right to terminate accounts for fewer than three notices in cases of egregious or willful infringement. Users who believe they have been incorrectly identified as repeat infringers may appeal the termination by contacting [email protected] within fourteen (14) days of termination with evidence supporting their appeal.
6. User Representations and Warranties
By using the Services, you represent and warrant that:
- You have the legal capacity and authority to enter into this Agreement and to use the Services in the manner contemplated;
- All information you provide to the Services is accurate and not misleading;
- Your use of the Services will comply with all applicable local, state, national, and international laws, rules, and regulations, including but not limited to the Computer Fraud and Abuse Act (CFAA), the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), the Digital Millennium Copyright Act (DMCA), and any other applicable data protection, privacy, and intellectual property laws;
- You will not use the Services to violate the terms of service, privacy policies, or acceptable use policies of any third-party platform or website;
- You will not use the Services to engage in unauthorized data collection, mass scraping, or any activity that could harm or impair the operation of any third-party service;
- You have the right to access, retrieve, and process any third-party content that you direct the Services to obtain; and
- You will not use any content obtained through the Services for commercial purposes without securing appropriate rights from the original content owners.
7. User Conduct and Prohibited Activities
You agree to use the Services solely for lawful purposes. You shall not:
- Exploit, harm, or attempt to exploit or harm minors
- Generate or disseminate false or misleading information
- Infringe intellectual property, privacy, or other legal rights of third parties
- Defame, harass, intimidate, or threaten any person
- Reverse engineer, decompile, or derive source code from the Services
- Use automated means to access or extract data from the Services itself
- Upload malicious code or interfere with the operation of the Services
- Use the Services to systematically or bulk-download content from any third-party platform in a manner that exceeds reasonable personal research or reference use
- Use the Services to create, store, or distribute unauthorized copies of copyrighted works
- Attempt to circumvent any access controls, rate limits, or security measures of the Services or any third-party platform
- Use the Services to compete directly with Nodum or to build a similar product or service
8. Content and License
You may provide input to the Services ("Input"), and receive output generated by the Services ("Output"). Together, Input and Output are referred to as "Content".
Subject to applicable law: (a) You retain all ownership rights in your Input; and (b) As between you and us, you own the Output generated in response to your Input, subject to any third-party rights in the underlying content from which Output is derived.
By using the Services, you grant us a non-exclusive, worldwide, royalty-free license to use your Content solely to operate, provide, maintain, improve, and develop the Services.
Third-Party Content Disclaimer: Any Output that incorporates, references, or is derived from third-party content remains subject to the original content owner's rights. Nodum grants no license or permission with respect to third-party content processed through the Services.
9. Indemnification
You agree to defend, indemnify, and hold harmless Nodum Inc, its officers, directors, employees, agents, licensors, and service providers from and against any claims, actions, demands, liabilities, and settlements including legal fees arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any third-party content you retrieve, process, or use through the Services; (e) your infringement or alleged infringement of any third party's intellectual property, privacy, publicity, or other rights; and (f) any content you create, upload, or distribute using the Services.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim.
10. Paid Services and Payments
We may offer certain features free of charge ("Free Services"), while others may require payment ("Paid Services"). Paid Services may include Nodum Core, Nodum Prime, Nodum Maxima, and other premium offerings.
Unless otherwise required by applicable law, we reserve the right to modify pricing, subscription models, or billing practices for Paid Services.
Subscriptions may auto-renew unless you cancel before the renewal date.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS. WE MAKE NO REPRESENTATION OR WARRANTY OF ANY KIND, INCLUDING THAT YOUR USE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THAT THE SERVICES WILL PRODUCE ACCURATE, COMPLETE, OR RELIABLE RESULTS. WE DO NOT GUARANTEE THE LEGALITY, ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY DATA OR CONTENT RETRIEVED FROM THIRD-PARTY SOURCES. WE DO NOT GUARANTEE UNINTERRUPTED ACCESS TO ANY THIRD-PARTY DATA SOURCE. AVAILABILITY OF THIRD-PARTY CONTENT IS SUBJECT TO CHANGE WITHOUT NOTICE DUE TO PLATFORM POLICY CHANGES, API MODIFICATIONS, TECHNICAL RESTRICTIONS, OR BLOCKS IMPLEMENTED BY THIRD-PARTY SERVICES. YOU USE THE SERVICES AND ANY OUTPUT ENTIRELY AT YOUR OWN RISK.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR MAXIMUM AGGREGATE LIABILITY SHALL BE LIMITED TO THE AMOUNT YOU HAVE PAID TO US WITHIN THE LAST TWELVE (12) MONTHS OR FIFTY US DOLLARS (USD $50), WHICHEVER IS HIGHER. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED.
You acknowledge that Nodum acts solely as a tool provider and intermediary, and is not responsible for the legality of user-directed content retrieval, the accuracy of third-party content, or any consequences arising from your use of content obtained through the Services.
13. Dispute Resolution, Arbitration, and Governing Law
Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be Delaware, USA. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Class Action Waiver. You agree that any arbitration or litigation shall be conducted solely on an individual basis, and not as a class action, collective action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Nodum.
Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of laws rules.
Exception for Equitable Relief. Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or breaches of confidentiality.
14. Termination
We may terminate or suspend your account and access to the Services at our sole discretion, without notice, for conduct that we determine violates these Terms, is harmful to other users or the Platform, or for any other reason we deem appropriate.
Upon termination, the provisions of these Terms which by their nature should survive — including Sections 3, 5, 6, 8, 9, 11, 12, and 13 — shall remain in full force and effect.
15. General Provisions
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Nodum regarding the use of the Services.
Assignment: You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign our rights and obligations without restriction.
16. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond that party's reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, civil unrest, epidemics, government actions, internet outages, power failures, and specifically including changes to, restrictions on, or blocking of access to third-party platforms, APIs, websites, or services (including but not limited to social media platforms implementing new anti-scraping measures, API deprecations, rate limiting, IP blocking, or changes to their terms of service that affect data accessibility). If a force majeure event continues for more than ninety (90) days, either party may terminate these Terms upon written notice.
17. Export Control and Sanctions
You may not use the Services if you are located in, ordinarily resident in, or organized under the laws of any country or territory subject to comprehensive economic sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), the European Union, or the United Nations Security Council, including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine. You represent and warrant that you are not: (a) listed on any government list of prohibited or restricted parties, including the Specially Designated Nationals (SDN) List maintained by OFAC; or (b) otherwise subject to any comprehensive economic sanctions. You agree to comply with all applicable export control and sanctions laws.
